                                                                    ARTICLE 1

 

                                                                        NAME

 

Section 1.      The name of this corporation shall be MASSABESIC YACHT CLUB of Manchester, New Hampshire, as incorporated May 20, 1941.

 

                                                                    ARTICLE 2

 

                                                                      OBJECT

 

Section 1.      The object of this club is to encourage and promote the sport of sailing and the art of seamanship.

 

                                                                    ARTICLE 3

 

                                                                    MEMBERS

 

Section 1.      The membership of this club shall be limited to men and women with an active interest in sailing.

 

Section 2.      As used herein, the male pronouns, (he or him), shall also mean the corresponding female pronouns, (she or her).

 

                                                                    ARTICLE 4

 

                                                                    OFFICERS

 

Section 1.      The officers of this club shall be a Commodore, Vice‑Commodore, Rear Commodore, Secretary, Treasurer, Harbormaster, and Race Committee Chairman. Their duties shall be those usually devolving upon such officers, and they shall serve until their successors have been elected.

 

Section 2.      The officers shall be elected by ballot at the annual meeting held in December.


                                                                    ARTICLE 5

 

                                                      STANDING COMMITTEES

 

Section 1.      BOARD OF TRUSTEES:  The board of trustees shall be composed of two elected members and the incumbent officers of the club.

 

Section 2.      RACE COMMITTEE:  The race committee shall be composed of an elected chairman and two assisting members appointed by him.

 

Section 3.      PROGRAM COMMITTEE:  The program committee shall be composed of the Vice‑Commodore and two assisting members appointed by him.

 

Section 4.      HARBOR COMMITTEE:  The harbor committee shall be composed of the Harbormaster as chairman and two assisting members appointed by him.

 

                                                                    ARTICLE 6

 

                                                                    MEETINGS

 

Section 1.      Regular meeting of this club shall be held on the first Monday of each month at times and places announced by the program committee.

 

Section 2.      The December meeting of each year shall be the annual meeting at which officers shall be elected and the reports of officers and standing committees shall be submitted.

 

Section 3.      The Commodore may call a special meeting at his discretion and shall do so at the written request of three members. Said request shall state the purpose for which the meeting is called and no other business than that shall be transacted.  Notice shall be given to membership at least three days before date of special meetings stating purpose of same.

 

Section 4.      The annual awarding of trophies selected and given by the racing committee shall be at a special meeting or at the committee's discretion. This should be no later than January 31 following the activity year.

                                                                    ARTICLE 7

 

                                                                   PROPERTY

 

Section 1.      The title to and ownership of all property, effects, and assets of the club shall be held in trust for the benefit and enjoyment of the members; property, assets, and the like, of the Sailing Program shall be held in trust, exclusively for the benefit and enjoyment of the participants in the Sailing Program. Any lease that may be made by the board of trustees shall be for the exclusive benefit of the club, the members of which hereby accept and assume responsibility thereof.

 

Section 2.      The resignation of membership through forfeiture, death, or other reasons, or termination of participation in the Sailing Program shall be considered an assignment and release to the board of trustees of all rights, title, and interest of such participant in and to the property and assets.

 

                                                                    ARTICLE 8

 

                                               AMENDING THE CONSTITUTION

 

Section l.        The Constitution of this club may be amended by a two‑thirds vote at any meeting provided that notice of the proposed amendment or amendments has been given at the preceding meeting and shall be valid only when adopted at the next regular meeting.

 

Section 2.      There shall be no suspension of any article of the Constitution.
